Rookwise Terms of Service

1. Introduction and Acceptance

Welcome to Rookwise! These Terms of Service ("Terms") govern your access to and use of the Rookwise mobile application and related services (collectively, the "Service"), operated by AI Lattice LLC ("AI Lattice," "we," "us," or "our").

By creating an account or using Rookwise, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Important: Rookwise is designed for children ages 5-12. Only parents or legal guardians may create accounts. By creating an account, you represent that you are at least 18 years old and are the parent or legal guardian of any child for whom you create a profile.

2. Definitions

"Parent" means the adult user who creates and manages a Rookwise account.
"Child" or "Player" means a minor (under 18) for whom a Parent creates a profile within their account.
"Child Profile" means a profile created by a Parent for a Child to use Rookwise.
"Content" means all text, graphics, images, audio, video, scenarios, and other materials available through the Service.
"User Content" means any content submitted by users, including display names and feedback.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create a Rookwise account. By registering, you confirm that:

You are at least 18 years of age
You are the parent or legal guardian of any Child for whom you create a profile
All information you provide is accurate and complete
You will maintain the security of your account credentials

3.2 Account Responsibilities

You are responsible for:

All activity that occurs under your account
Maintaining the confidentiality of your password
Supervising your Child's use of the Service as you deem appropriate
Ensuring all Child profiles are created with accurate age tier information

3.3 Parental Consent

By creating a Child Profile, you consent to our collection and use of information as described in our Privacy Policy. You confirm that you have the legal authority to provide this consent on behalf of the Child.

4. The Service

4.1 Description

Rookwise is an educational application that teaches baseball situational awareness through interactive scenarios. The Service includes:

Interactive baseball scenarios tailored to different age groups
Progress tracking and XP-based leveling system
Parent dashboard for monitoring Child progress
Optional team and coach features

4.2 Age-Appropriate Content

All content is designed to be appropriate for children ages 5-12. We do not include:

Violence, gore, or frightening content
Sexual content or mature themes
Profanity or inappropriate language
Gambling mechanics or simulated gambling

4.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of significant changes when possible.

5. Subscriptions and Payments

5.1 Free and Paid Features

Rookwise offers both free and premium subscription tiers. Premium features require an active subscription.

5.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Payment is processed through the applicable app store (Apple App Store or Google Play Store).

5.3 Cancellation

You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until then.

5.4 Refunds

Refund requests are handled by the applicable app store in accordance with their policies. We do not process refunds directly.

5.5 Price Changes

We may change subscription prices at any time. Price changes will apply to the next billing cycle after notice is provided. Continued use after a price change constitutes acceptance.

6. User Conduct

6.1 Acceptable Use

You agree to use Rookwise only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service for any illegal purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Use automated means to access the Service without permission
Impersonate any person or entity
Collect information about other users without consent

6.2 Display Names

Display names for Child Profiles:

Must not contain real names, addresses, or contact information
Must not contain offensive, vulgar, or inappropriate content
Must not impersonate real individuals or public figures
May be modified or removed by us if they violate these guidelines

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use that feedback for any purpose without compensation to you.

7. Intellectual Property

7.1 Our Content

All Content provided through Rookwise, including but not limited to text, graphics, logos, images, audio clips, video, scenarios, and software, is owned by AI Lattice LLC or our licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. This license does not include:

Modifying or copying our Content
Using Content for commercial purposes
Reverse engineering any software
Removing copyright or proprietary notices
Transferring your account to another person

7.3 Trademarks

"Rookwise," the Rookwise logo, and other Rookwise marks are trademarks of AI Lattice LLC. You may not use these marks without our prior written permission.

8. Privacy

Your use of Rookwise is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and protect information, including our compliance with the Children's Online Privacy Protection Act (COPPA).

9. Third-Party Services

9.1 App Stores

Rookwise is distributed through third-party app stores (Apple App Store, Google Play Store). Your use of these platforms is subject to their respective terms and conditions.

9.2 Payment Processors

Payments are processed by third-party payment processors. We do not store credit card information.

9.3 No Endorsement

Reference to any third-party products or services does not constitute an endorsement by AI Lattice LLC.

10. Disclaimers

10.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free of viruses or harmful components
The results of using the Service will meet your expectations

10.3 Educational Purpose

Rookwise is designed to supplement, not replace, traditional baseball instruction. We make no guarantees regarding skill improvement or athletic performance.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI LATTICE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Lattice LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any User Content you submit

13. Termination

13.1 Termination by You

You may terminate your account at any time by using the account deletion feature in the app or by contacting support@rookwise.app. Upon termination, all Child Profiles and associated data will be deleted.

13.2 Termination by Us

We may suspend or terminate your account at any time if:

You violate these Terms
We are required to do so by law
We discontinue the Service

We will provide notice when reasonably possible.

13.3 Effect of Termination

Upon termination:

Your license to use the Service immediately ends
You must cease all use of the Service
We may delete your account data (subject to legal retention requirements)
Sections 7, 10, 11, 12, and 15 survive termination

14. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by:

Email to your registered address
In-app notification
Posting the updated Terms at https://rookwise.app/terms

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Informal Resolution

Before filing any formal claim, you agree to contact us at legal@rookwise.app and attempt to resolve the dispute informally for at least 30 days.

15.3 Arbitration Agreement

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Delaware or remotely, at your election.

15.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.5 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Lattice LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

We may provide notices to you via email, in-app notifications, or by posting on our website. You may contact us at the addresses provided in Section 17.
